Netcall plc (AIM: NET) has acquired Jadu Holdings Limited, a UK-based digital experience platform provider, in a move poised to broaden its market reach and enhance its Liberty platform with new digital experience and AI capabilities.
The acquisition is expected to be earnings-enhancing in the current financial year on an adjusted earnings per share basis.
The deal strategically expands Netcall's presence within UK local government, increasing its coverage from approximately one-third to one-half of all UK councils.
This strengthens Netcall's competitive positioning within the public sector. Furthermore, the integration of Jadu's digital experience and AI capabilities into the Liberty platform creates potential for cross-selling opportunities across the Netcall portfolio and supports international growth, particularly through Jadu's established US partner channel.
Jadu's financial performance shows a promising trajectory with annual recurring revenue (ARR) of £5.9 million as of September 30, 2025, representing a 10% year-over-year increase. Notably, approximately 90% of this revenue is derived from cloud services, aligning with Netcall's cloud-first strategy.
For the year ended September 30, 2025, Jadu reported revenue of £7.4 million, up 7% year-over-year, with recurring revenue accounting for 76% of the total. While Jadu experienced an adjusted EBITDA loss of £0.3 million, it achieved EBITDA breakeven in Q4, indicating improving profitability.
Netcall will pay an initial consideration of £15.2 million, comprised of £11.2 million in cash and 3,378,664 Netcall Ordinary Shares valued at £4.0 million. An earn-out of up to £4.0 million may be payable contingent on Jadu meeting specific financial and non-financial performance targets, including ACV growth of approximately 20% per annum over two years.
