Arlington completes takeover of Gooch & Housego

Arlington Capital Partners has completed its 1,230p-a-share cash takeover of the AIM-listed optics maker, ending Gooch & Housego's life as a listed company, with admission to AIM trading due to be cancelled on Monday.

Gooch & Housego (AIM: GHH), the Somerset photonics maker, is now owned by US private equity firm Arlington Capital Partners after its 1,230p-a-share cash takeover became effective today. The company confirmed the acquisition has completed, and its shares are suspended.

With dealings halted, there is no share price move today. The last close, yesterday’s 1,225p, sat 5p, or 0.41%, below the offer, a small spread that has now closed.

The buyer is Greenlight Bidco Limited, indirectly owned by Arlington Capital Partners VII, L.P. This was the last step in a chain that began with the offer on the 16th of July. Shareholders approved it on the 26th of August, the court sanctioned it on Wednesday, and the register closed at 6.00pm yesterday.

Holders on the register at that point receive 1,230p in cash per share. That is a 40.7% premium to the 874p close on the 15th of July, the day before the offer was announced.

The shares jumped on the announcement, opening at 1,210p and closing at 1,215p. From then until yesterday they closed between 1,195p and 1,230p, hugging the offer price as completion approached.

Line chart of Gooch & Housego daily closing share price against the 1,230p offer price, showing a jump from around 874p to roughly 1,215p on the 16 July 2026 announcement, then the shares tracking a few pence below the flat 1,230p offer line through to 15 October 2026.

Dealings on AIM, the London Stock Exchange’s market for smaller companies, are not expected to resume. Admission of the shares to trading is due to be cancelled by 7.00am on Monday.

Share certificates have ceased to be valid documents of title, and CREST entitlements, the electronic holdings, have been cancelled. Payment goes out by cheque or CREST credit within 14 days of today, which means by next Friday, the 30th of October.

The board has changed. Gary Bullard, Serena Lang, Louise Evans, Susan Searle and Jim Haynes have resigned, and Peter Manos, Ben Ramundo and Mark Giragosian have been appointed. The company is no longer in an offer period.

Investec and Rothschild & Co advised Gooch & Housego, which makes acousto-optic modulators, fibre optics and precision optics for aerospace, defence, industrial and life sciences customers. J.P. Morgan Cazenove advised Arlington and Greenlight Bidco.
