Shares in Goodwin PLC (LON: GDWN) jumped as much as 6% on Friday to around 199.36p, after the engineering group confirmed it has launched a strategic review that could see it sell off a significant portion of its Mechanical Engineering division.
In a statement responding to recent press speculation, the Board said the review is aimed at “maximising value for shareholders” while ensuring continuity for customers and the long-term prosperity of its businesses. Among the options being considered is the potential sale of a substantial part of the Mechanical Engineering division, which encompasses several well-known units: GSC, GI, Noreva, Easat and Pumps.
Goodwin stressed that discussions remain ongoing and cautioned there is “no certainty that a transaction will be entered into.” The Company has appointed investment bank Rothschild & Co to advise the Board throughout the process.
The announcement follows growing market chatter in recent days about a possible breakup or partial disposal of the diversified engineering group, which spans mechanical engineering, refractory engineering, and other specialist industrial businesses. Investors appear to be betting that a sale could unlock value trapped within the conglomerate structure, sending the stock sharply higher in early trading.
Goodwin, headquartered in Stoke-on-Trent, has built its Mechanical Engineering arm through a combination of organic growth and acquisitions, with Easat known for radar technology and GSC and GI serving industrial and defence-related markets.
The Board said it will update shareholders on the progress of the strategic review “as appropriate,” but gave no indication of a timeline for concluding discussions or announcing a definitive transaction. Further details are expected in the company’s next scheduled update.
