Halma Acquires US Water Quality Specialist Pyxis for Up to £148m

Halma plc (LON: HLMA), the FTSE 100 group of life-saving technology companies, saw its shares tick around 1% higher on Wednesday after announcing the acquisition of Pyxis, a specialist provider of water quality monitoring and analysis technology based near Houston, Texas.

Pyxis designs and manufactures sensors and systems that allow industrial, municipal and environmental customers to measure and control critical water parameters in real time.

The technology helps improve process efficiency, cut waste and support compliance with tightening environmental regulations. Founded in 2013, the company has built a global customer base alongside a strong record of growth and innovation since its inception.

Under the terms of the deal, Halma will pay an initial cash consideration of $170m (approximately £126m) in aggregate for the three separate Pyxis entities, on a cash- and debt-free basis, funded from the Group’s existing facilities.

A further earn-out of up to $30m (around £22m) is payable for the US-based business, contingent on performance over the two financial years to 31 March 2028 and 2029, bringing the maximum total consideration to roughly £148m.

Pyxis generated unaudited revenue of approximately $39m (about £29m) in the 12 months to 31 March 2027 on a forecast basis. The business will operate as a standalone unit within Halma’s Environmental & Analysis Sector, retaining its existing management team led by founder Caibin Xiao.

Group Chief Executive Marc Ronchetti described Pyxis as “a high-quality business with a strong track record of growth,” noting its complementary fit with several existing Halma companies. Xiao said joining Halma would provide access to global resources while preserving operational autonomy, supporting further expansion in water quality monitoring.
