Accelerant Stock Surges 43% – Here’s Why

Shares of Accelerant Holdings (NYSE: ARX) rocketed 43% on Thursday, August 13, 2026, after the specialty insurance marketplace delivered a powerful one-two punch: a blowout second-quarter earnings report and a definitive agreement to be acquired by private equity giant Thoma Bravo.

Accelerant said Thoma Bravo will take the company private in an all-cash transaction valued at more than $4 billion, with shareholders set to receive $20.25 per share — a roughly 49% premium to Accelerant’s closing price on August 12. The deal represents a major vote of confidence in the insurtech platform, which connects specialty insurance risk with a network of capital providers.

The buyout announcement landed alongside Accelerant’s second-quarter results, which sharply exceeded Wall Street expectations. The company reported revenue of $356.9 million and net income attributable to common shareholders of roughly $78.7 million to $80 million for the quarter. Adjusted earnings per share came in at 32 cents, more than doubling the 13 cents posted in the prior-year period — a surprise of approximately 100% versus consensus estimates.

Analysts attributed the strong quarter to robust premium growth, higher fee revenue, and improved performance from Accelerant’s Exchange Services segment, even as underwriting and MGA profitability faced some pressure. Operating cash flow, however, swung to a $90 million outflow for the period.

With the acquisition price now largely reflected in the stock, several analysts have shifted to neutral or “Hold” ratings, noting that most of the near-term upside has already been realized ahead of the deal’s expected closing.

Shares finished the session near $19.49, still trading at a discount to the offer price, reflecting typical deal-completion risk as the transaction moves toward regulatory and shareholder approval.
