Corvex Management has formally requisitioned a general meeting of Whitbread (LON: WTB) shareholders to elect its partner James Gemmel to the board, escalating its campaign against the Premier Inn owner. The New York-based activist fund holds roughly 6.4% of Whitbread’s shares directly, with an economic interest of about 7%, and has been a shareholder since 2024.
Whitbread shares closed at 2327p yesterday, near the bottom of a 52-week range spanning 2045.59p to 3181.04p. The requisition landed before the market opened, and no confirmed market reaction to the news was available at the time of writing.
Corvex first engaged Whitbread privately in December, then went public in May, demanding a full sale process and warning the shares stood at a 13-year low. Whitbread’s board rejected a sale at its April results, choosing to remain an integrated operator while closing branded restaurants and lifting its sale-leaseback target to roughly £1.5bn, moves Corvex opposed.

With engagement exhausted, Corvex has shifted from demanding a sale to a binding mechanism: a single board seat rather than control.

Corvex says Whitbread has materially underperformed peers and the wider market over multiple time horizons and trades at a significant discount to peers, adding that the board’s recent strategy review was poorly received by the market. Whitbread had not issued a public response to the requisition at the time of writing.
