Fintel Buys Mortgage Brain for £38.4m

Fintel has bought the rest of Mortgage Brain for £38.4m, adding mortgage software to its wealth and insurance tools, but the deal lifts its leverage to 2.54x pro forma.

Fintel (LON: FNTL) has bought the remaining equity of Mortgage Brain for £38.4m, adding a UK mortgage software provider to its range. Fintel paid £28.9m in cash on completion, with £9.5m deferred for 18 months, according to Proactive Investors.

Fintel shares were 171.5p at about 12:23 London time today, down 0.87% from yesterday’s 173p close, in a range of 170p to 176.3p. That is a delayed quote. The shares were already weak: yesterday’s close was their lowest since the 20th of July, and they sat below their 50-day average of 185.12p and 200-day average of 192.33p.

Mortgage Brain’s customers reportedly account for about 40% of UK first-charge residential and buy-to-let mortgage applications. The deal gives Fintel a mortgage product beside its wealth and insurance software and links to Plannr, the planning platform Fintel part-owns (49%).

Fintel expects Mortgage Brain to deliver about £12m of revenue and £3.8m of EBITDA (earnings before interest, tax, depreciation and amortisation) by 2027, and the deal to enhance earnings that year. Those are expectations, not results. On our arithmetic the price is about 10.1x that 2027 EBITDA and about 21% of Fintel’s £178.7m market value. The cost is balance-sheet room: leverage rises to 2.54x pro forma immediately after the deal, and Fintel expects it below 2.5x by year-end.

Fintel daily closes since 20 July; 23 October is a delayed midday quote.

Matt Timmins, Fintel’s chief executive, said the deal extends the group’s strategy of supporting advisers who offer several kinds of advice:

The acquisition of Mortgage Brain extends that strategy into the mortgage market and strengthens our ability to support the growing number of advisers delivering multiple advice disciplines through a single client relationship.

Zahid Bilgrami, Mortgage Brain’s chief executive, pointed to data as the draw: “The data is really the key. When you bring our proprietary datasets together, it places us in a unique position to build capable AI-driven solutions for intermediaries and end consumers alike.”
