Healthcare Services Group to Buy NEXDINE for $93.5M in Cash
Healthcare Services Group has agreed to buy senior-living dining manager NEXDINE Hospitality for $93.5M upfront, paid from cash. The shares closed lower yesterday on trading volume well above the usual range.
Healthcare Services Group (NASDAQ: HCSG) said yesterday it has agreed to buy NEXDINE Hospitality for $93.5M upfront, with further payments if performance targets are met.Its shares closed down 1.6% on the day. According to the company, the deal expands HCSG in senior living.
The shares closed at $20.79, down from $21.13, after a session range of $20.75 to $21.405. Volume reached 1.13M, against a typical 0.4M to 0.8M. The close is about 19% below the 52-week high of $25.75.
According to the company, NEXDINE is based in Mansfield, Massachusetts, and manages dining and hospitality services for senior living communities. It is expected to generate more than $150M in annual revenue.

NEXDINE will stay a wholly-owned subsidiary, keeping its headquarters and leadership, including founder and chief executive David Lanci. The size of the performance-linked payments, which will decide the final cost, was not disclosed.
HCSG will pay from cash on hand. Against a market value of $1,450.2M, the upfront price is about 6.4% of the company.
The expected added revenue is about 8% of HCSG’s trailing 12-month revenue of $1,864.6M. Both percentages are our own calculations.
