HSBC Appoints Alison Platt as Non-Executive Director

HSBC has appointed Alison Platt as an independent non-executive director from next Thursday, positioning her to succeed Dame Carolyn Fairbairn as chair of the bank’s remuneration committee.

HSBC Holdings (LON: HSBA), the London-headquartered bank with offices in 56 countries and territories, has appointed Elizabeth Alison Platt as an independent non-executive director, effective 1 October. She joins the Group Remuneration Committee, the Group Risk Committee and the Nomination and Corporate Governance Committee.

HSBC shares were trading at 1519.4p today, up 1.31% from Thursday’s close of 1499.8p, within a 52-week range of 918.119p to 1602.239p. The move is unrelated to the board appointment, which is a governance matter rather than a price-sensitive earnings or trading update.

The appointment, disclosed in a stock exchange filing signed by Group Company Secretary Angela McEntee, is explicitly tied to succession planning. Platt, subject to regulatory approval, will take over as chair of the Group Remuneration Committee from Fairbairn on 24 February 2027, the day after HSBC’s full-year 2026 results. Fairbairn is moving to chair HSBC UK Bank plc, the group’s ring-fenced UK retail banking subsidiary, and the handover has been timed to follow immediately after the annual results announcement.

Platt, 64, spent 21 years in senior roles at Bupa Group and was chief executive of Countrywide plc for four years. She currently chairs Ageas UK and is senior independent director at Inchcape plc, having previously served as a non-executive director at Tesco plc and as chair of Hargreaves Lansdown plc before it delisted. The board has determined she is independent under both the UK and Hong Kong corporate governance codes. Her appointment as a director is subject to shareholder election at the 2027 annual general meeting, with an initial three-year term running to 2030 if elected.

Her financial services expertise, strategic perspective and experience of remuneration and investor engagement will be valuable to the Board and will further strengthen the Group Remuneration Committee.

Nelson also thanked Fairbairn, who has chaired the Group Remuneration Committee for four and a half years, for her leadership of the panel that oversees executive pay at the bank, which held assets of $3,438bn at the end of June. The handover is timed to take effect once Fairbairn has moved into her new role chairing HSBC UK Bank plc.
