Why Atkore International Stock Surged on Monday

Shares of Atkore Inc. (NYSE: ATKR) rocketed higher on Monday, surging as much as 27% in premarket and early trading after the electrical and infrastructure products maker announced a definitive agreement to be acquired by Italian cable giant Prysmian SpA in a deal valued at approximately $3.8 billion.

Under the terms of the agreement, Atkore shareholders will receive $95 per share in cash for each share of common stock they hold—a substantial premium to where the stock had been trading.

The transaction will be funded through a combination of cash on hand and new debt financing, according to the companies’ joint statement. The all-cash structure removes uncertainty for shareholders, who will receive a fixed value regardless of market fluctuations before the deal closes.

Prysmian, one of the world’s largest cable and wire manufacturers, framed the acquisition as a strategic move to expand its footprint in electrical products and infrastructure solutions in North America, complementing its existing cable and systems businesses. Atkore, based in Harvey, Illinois, manufactures electrical conduit, cable, and other infrastructure products used in construction and industrial applications.

Adding further fuel to the rally, Atkore also reported third-quarter fiscal 2026 results on Monday that topped Wall Street’s expectations on both earnings and revenue, reinforcing investor confidence in the underlying business even as it prepares to be absorbed into Prysmian’s global operations.

The deal is subject to customary closing conditions, including regulatory approvals and a shareholder vote, and is expected to close within the coming months. Analysts noted that the combination of a premium buyout price and better-than-expected quarterly performance created a powerful one-two punch for the stock, pushing shares toward the $95 deal price as arbitrage traders positioned for the transaction’s completion.

Trading volume in Atkore shares was many multiples of its daily average as the news broke, with the stock among the top percentage gainers on U.S. exchanges Monday.
