Senior Shares Surge: Confirms Takeover Offer from Arcline

Senior (LON: SNR) witnessed a further jump in its share price on Thursday after confirming media speculation regarding a preliminary, non-binding all-cash offer from Arcline Investment Management, L.P.

The offer is to acquire the entire issued and to be issued share capital of the company. This announcement follows previous statements on February 27, 2026, and March 3, 2026, regarding the receipt of all-cash proposals.

Senior PLC explicitly stated that discussions with Arcline and other potential offerors are ongoing. However, the company cautioned that there is no certainty that an offer will be made, nor as to the terms of any offer. Investors should be aware of the speculative nature of such situations.

Arcline is now under a strict deadline, according to Rule 2.6(a) of the Code, to announce a firm intention to make an offer for Senior by no later than 5:00 p.m. (London time) on April 1, 2026, or to announce that it does not intend to make an offer. This deadline can only be extended with the consent of the Panel on Takeovers and Mergers, adding pressure on Arcline to make a decisive move.

The Panel Executive granted Senior PLC a dispensation from the requirements of Rules 2.4(a) and 2.4(b) of the Code. This allows the company to refrain from identifying potential offerors unless specifically named in rumors or speculation, as is the case with Arcline. This rule protects the confidentiality of ongoing negotiations and prevents undue market influence.

The key date to watch is April 1, 2026, the deadline for Arcline to make a firm offer or withdraw. Any news or rumors leading up to this date will likely cause further price swings in Senior PLC’s stock.
