British American Tobacco (LON: BATS) has appointed Bruce Sewell, the former general counsel of Apple, to its board as an independent non-executive director from the 1st of January. He will sit on the Audit and Nominations committees.
Sewell was Senior Vice President, General Counsel and Secretary of Apple Inc. from 2009 to 2018, with responsibility for legal, compliance and ethics, and government relations. Before that he spent 14 years at Intel Corporation, latterly as Senior Vice President and General Counsel, and earlier he was a partner at Brown & Bain PC.
He currently serves as Lead Independent Director of Vail Resorts, Inc., where he previously chaired the Audit and the Nominating and Governance committees. He is also a director of C3.ai, Inc., and chairs its Nominating and Governance Committee.
Luc Jobin, Chair of the Board, said the appointment is aimed at the regulatory demands the company faces as it works towards its Horizon 2030 goals.
I am pleased to welcome Bruce Sewell to our Board. Bruce brings significant experience in the global technology sector, together with a strong background in engaging with governments and regulators across the U.S., Europe and Asia, and listed-company board experience, including in AI. As we deliver our Horizon 2030 ambitions, his insight will be valuable in navigating a complex regulatory landscape as BAT continues on its ambition to build a Smokeless World.
Luc Jobin, Chair of the Board
Separately, two non-executive directors will trade committee seats from the 30th of November, following a review of how the committees are composed. Véronique Laury leaves the Audit Committee for the Remuneration Committee, while Serpil Timuray moves the other way.
With Sewell’s arrival and that swap in place, the two committees will line up as follows on the 1st of January.
| Role | Audit Committee | Remuneration Committee |
|---|---|---|
| Chair | Darrell Thomas | Kandy Anand |
| Member | Uta Kemmerich-Keil | Karen Guerra |
| Member | Bruce Sewell | Véronique Laury |
| Member | Serpil Timuray | Matthew Wright |
Sewell joins Audit, while Timuray and Laury swap seats. Each committee will have four members, and Darrell Thomas chairs Audit.
