Cognex Buys RealSense in $500m Push Into Robotic Vision

Cognex has agreed to buy RealSense, the Intel-spun-out 3D sensing specialist, for approximately $500 million in cash, pushing the machine-vision maker into the fast-growing robotic-perception market.

Cognex Corporation (NASDAQ: CGNX), the industrial machine-vision company, said today it will acquire RealSense in an all-cash deal worth approximately $500 million. RealSense was founded inside Intel in 2014, spun out in 2025, and makes 3D depth-sensing cameras for robotic navigation and perception.

Cognex shares closed yesterday at $61.99, up 0.7%, near their 52-week high of $72.78, trading below their 50-day moving average but above their 200-day average heading into the announcement. The deal was disclosed pre-market this morning, so today’s session is the market’s first chance to react.

Cognex is funding the purchase entirely from cash, without new debt. It reported $755 million of cash and investments with no debt as of its most recent quarterly filing, the 5th of July. Management targets the robotic-perception market, estimated at $600 million today and expected to grow more than 25% a year to around $1.6 billion by 2030. RealSense is forecast to generate $80-90 million of revenue in 2026, growth of more than 50% on the prior year, well above Cognex’s own, more mature top line.

Cognex is also setting up a three-year, $56.5 million cash retention programme for RealSense staff, plus roughly $50 million of restricted stock units, additional costs on top of the deal value. The transaction is expected to close in the fourth quarter, subject to customary conditions.

Matt Moschner, Cognex’s president and chief executive, cast the deal as a strategic expansion.

The retention and RSU packages underline the scale of the bet: Cognex is paying up for a business growing far faster than its own top line, backed by a programme designed to keep its engineering team in place. Whether investors treat this as sound diversification or an expensive step into an unproven adjacency is a question the market has yet to answer.
