Ingram Micro Shares Fall As Platinum Equity Prices Discounted Share Sale

Ingram Micro Holding Corporation (NYSE: INGM), the global technology distributor connecting IT manufacturers and cloud providers with resellers across 57 countries, fell on Tuesday after its majority owner, private equity firm Platinum Equity, priced a secondary sale of 13.1 million shares at a discount to the market price.

INGM closed on Tuesday at $28.38, down 1.6% from the prior close of $28.84 on Friday. The stock sits within its 52-week range of $18.84 to $31.59 and close to its 50-day moving average of $28.39. Seeking Alpha reported shares were down as much as 8% in after-hours and pre-market trading following the pricing announcement, though that figure has not been confirmed against an authoritative regular-session close.

Ingram Holdco, LLC, the Platinum Equity affiliate that remains Ingram Micro’s controlling shareholder, priced the offering at $27.25 per share through sole underwriter Goldman Sachs, which also holds a 30-day option to buy up to 1,968,750 additional shares. Ingram Micro receives none of the proceeds, which go entirely to the selling shareholder. The company separately agreed to buy back 625,000 shares from Goldman Sachs at the same $27.25 price, funded from cash on hand, in a deal worth about $17 million, expected to close around 10 September.

The $27.25 offer price is roughly 5.5% below Tuesday’s $28.84 close — the standard mechanism sellers use to place a large block of stock quickly. The transaction adds existing shares to the free float rather than raising new capital, so it dilutes the market’s absorption capacity without changing Ingram Micro’s underlying earnings or balance sheet. The concurrent buyback offsets only a small fraction of the shares sold.

Platinum Equity has continued to reduce its stake since Ingram Micro’s October 2024 listing, and held roughly 77% of tracked institutional holdings as of the most recent snapshot before this sale. Further selldowns by the sponsor remain a recurring source of supply pressure on the stock that can resurface independently of the company’s operating performance.
