Baker Hughes Completes $1.45bn Waygate Sale

Baker Hughes has completed the $1.45bn all-cash sale of its Waygate inspection business to Hexagon, a balance-sheet move as the group plans to begin repaying debt in the fourth quarter.

Baker Hughes (NASDAQ: BKR) has completed the $1.45bn all-cash sale of Waygate Technologies to Hexagon, the two companies confirmed on Monday. The energy technology group announced the deal on the 13th of April, and its shares were lower in US trading today.

The stock was at $53.53 in a delayed intraday quote as of 20:32 in London (15:32 in New York), down 3.08% from Friday’s $55.23 close. The day’s range ran from $53.53 to $55.48, so the shares sat at the low. The US session is still open.

Waygate’s portfolio covers remote visual inspection, ultrasound, radiography and imaging, along with all related assets including intellectual property. The price is before customary closing adjustments. The business sat in Baker Hughes’ IET segment.

Hexagon says Waygate has about 1,500 employees across 25 locations and generated about $630m in revenue in FY2025. It will fund the purchase with cash and existing debt and said it will consolidate Waygate from the 1st of November. Baker Hughes said the sale “enhances the durability of earnings and cash flow, and further strengthens the Company’s balance sheet.”

Baker Hughes completed its Chart Industries deal on 16 July, and leverage stood at 2.5x at the end of the third quarter. Management plans to start repaying debt in Q4 2026 from free cash flow and Waygate proceeds, targeting net leverage below 1.5x by the second half of 2028.

Baker Hughes daily closes, 3 August to 30 October 2026; the shares fell sharply on 28 October.

Waygate is one of several disposals. In its first-quarter results on 23 April, Lorenzo Simonelli, Baker Hughes’ Chairman and CEO, said the Waygate sale, combined with two transactions closed in the quarter, “is expected to generate gross proceeds of approximately $3 billion in 2026.”

Completion was expected, so this is a balance-sheet step rather than a buyback catalyst: debt reduction comes first.

The shares had already slid before today. They closed at $54.66 on Wednesday, from $59.00 the session before, against a peak of $64.90 on the 17th of August. Today’s quote sits below the $53.62 closing low of the 22nd of October.
