Marvell Agrees $115bn All-Stock Lumentum Deal

Marvell Technology has agreed to buy optical-components maker Lumentum in an all-stock deal valued at $115bn, including debt. Both stocks were sharply lower in US trading, having already closed Friday below their 28 October levels.

Marvell Technology (NASDAQ: MRVL), the data-centre chip designer, has agreed to buy Lumentum Holdings (NASDAQ: LITE), a maker of lasers and optical parts for AI data centres, and shares in both fell sharply. The companies said Lumentum holders will receive 4.5 Marvell shares per share, with an implied enterprise value of $115bn, including debt.

At 8.32 pm UK time, before the US close, Marvell was at $169.26, down 13.82% from Friday’s $196.40. Lumentum was at $685.31, down 18.48% from $840.70. Both prices are delayed intraday figures. Marvell closed at $287.01 on the 6th of October, its three-month high, and Lumentum at $1,133.40.

The companies announced the agreement around midday UK time, before Wall Street opened. The 4.5 ratio implies about $1,132 per Lumentum share, a premium of about 23.9% to the unaffected closes of 28 October, the last session before deal speculation began. Those closes were $251.65 for Marvell and $913.95 for Lumentum.

There is no cash element. Marvell holders will own about 67% of the combined company and Lumentum holders about 33%, counting all options and convertibles. Matt Murphy stays chairman and chief executive, and three Lumentum directors, including chief executive Michael Hurlston, join Marvell’s board. Both boards approved the deal unanimously.

The companies project more than $1bn of annual run-rate cost synergies, meaning yearly savings once fully achieved. They expect the deal to add to Marvell’s non-GAAP earnings per share in the first year after closing.

Because the ratio is fixed, Lumentum now trades off Marvell’s share price. Multiplying 4.5 by Marvell’s $169.26 gives $761.67 per Lumentum share, so at 8.32 pm Lumentum sat about 10% below the implied offer value. That is desk arithmetic on intraday prices, not a final close.

Marvell and Lumentum shares, indexed to 100 from 3 August 2026, slid from early-October highs before falling sharply on 2 November as Marvell agreed to buy Lumentum (final point intraday).

The deal is expected to close in the first half of 2028, subject to approval by both companies’ stockholders and regulatory clearances.
